1. The name of the Club shall be the “Henley Rugby Football Club”. The Club shall play under the laws adopted by the Rugby Football Union and in accordance with the best spirit and traditions of the game of Rugby Football Union.
2. The colours of the Club shall be dark blue, dark green and gold.
3. The Club's affairs shall be managed by a General Committee comprising the President, the Club Chairman and 4 Committee Members responsible for Facilities, Catering, Marketing and Finance. All members of the General Committee shall be elected annually, retire annually, and be eligible for re-election at the Annual General Meeting of the Club. The General Manager and a Director of Rugby shall be appointed by the General committee and co-opted onto the General Committee. Four members shall form a quorum by which elected members (see below reference to co-opted members) must always be in a majority. The General Committee will be supported by administrators and committees where appropriate and these appointments shall be at the discretion of the General Committee. The Chairman of the Club shall have the power to co-opt additional members to the General Committee and they, together with the General Manager and the Director of Rugby, shall not have voting rights.
4. The Annual General Meeting and the Financial Annual General Meeting shall be held every year and 15 months must not elapse between each meeting for the purpose of electing the President, Vice-Presidents and General Committee; the receiving of the audited accounts and the transacting of the general business of the Club. Twelve members shall form a quorum. Voting at a General Meeting shall be restricted to paid up members of the Club who are present at the meeting.
5. When desired by the General Committee, or requested by twelve or one-fifth of the members of the Club, whichever shall be the lesser number, in writing, the Chairman of the Club shall convene a Special General Meeting for the consideration of such business only as shall be mentioned in such a request, and such matters shall be decided by a majority of members present, subject to the provision of Rule 7.

The rules of the Club may be altered only at an Annual or Special General Meeting of the Club convened for this purpose, and any such proposed alteration or addition shall be notified in the circular convening the meeting. A majority of two-thirds of the members present shall be required to effect any alteration or addition.
8. In case of any proposal to alter the rules of the Club at an Annual General Meeting, the proposer and seconder shall give notice in writing indicating the proposed alteration to the Hon Secretary at least 21 days before the date of the meeting.
9a. Membership of the Club shall be open to anyone interested in rugby on application regardless of sex, age, disability, ethnicity, nationality, sexual orientation religion or other beliefs. However, membership may be limited according to available facilities on a non discriminatory basis
9b The Club may have different classes of membership and subscription on a non-discriminatory and fair basis. These membership categories and subscriptions to be proposed at the AGM and agreed by the membership. The Club will strive to keep subscriptions at levels that will not pose a significant obstacle to people participating.
9c The Club committee may refuse membership, or remove it, for conduct or character likely to bring the Club or rugby into disrepute. Appeal against refusal or removal may be made to the members.
9d A lists of member's names and addresses will be kept on the club premises.
10a The Club may sell and supply food, drink and related sports clothing and equipment
10b No intoxicating liquor will be supplied to any person under the age of 18 years.
11. Annual Subscriptions shall fall due on 1 st July and the rate, inclusive of Value Added Tax if applicable, shall be determined from time to time by a simple majority at a General Meeting of the Club.
12. The teams shall be selected by a selection committee comprising Director of Rugby, coaching staff, team captains and any others co-opted by the Director of Rugby.
13. The General Committee shall have power to expel or suspend any member subject to right of appeal at the next Annual General Meeting or at a Special General Meeting convened for that purpose
14. The purchase, care and control of all alcoholic liquors shall be the responsibility of the General Committee who shall arrange for the purchase thereof on behalf of the Club and for the supply thereof to members at such prices as they shall determine from time to time.
15. General Committee shall be empowered to deal with any matter arising that may not be provided for in these rules.
16. The opening hours of the Club bars will be agreed by the committee in accordance with the licence.
17. If at any time the Club in General Meeting shall pass a resolution authorising the Club to borrow money the committee shall thereupon be empowered to borrow for the purposes of the Club such amount of money at such a rate of interest and in such a manner as shall be specified in such Resolution and the Committee may issue mortgages or charges and may thereby charge all or any of the property and funds of the Club with a payment of the amount so borrowed and interest thereof. All members of the Club whether voting on such resolution or not and all persons becoming members of the Club after the passing of such resolutions shall be deemed to have assented to the same as if they had voted in favour of such resolution.
18. No member of the Club shall take or hold any interest in any property belonging to the Club otherwise than as a Trustee for the purposes thereof.
19. If, at any time, the Club in General Meeting shall decided that the Club shall be dissolved, the balance of the funds remaining after payment of all debts shall be transferred to the Oxfordshire Rugby Football Union or the Rugby Football Union.
20. No alteration to rules 18 and 19 or this clause may be made without the consent of the Rugby Football Union.
